BANDAR LAMPUNG – Menteri BUMN Erick Thohir mengajak seluruh karyawan BUMN dan masyarakat untuk Jalan Sehat Bersama BUMN dalam rangka memperingati 25 Tahun Kementerian BUMN yang dilaksanakan di 234 kabupaten/kota di Indonesia. Kegiatan jalan sehat mengusung konsep Estafet Obor BUMN dari Sabang sampai Merauke dilakukan secara bertahap di 15 provinsi mulai 12/2/2023 hingga 19/3/2023 dengan tema “Bersama BUMN, Menuju Indonesia Sehat”.

Jalan Sehat Bersama BUMN 2023 menandai kebersamaan Kementerian BUMN dan masyarakat yang telah terbina selama 25 tahun, dengan harapan Kementerian BUMN dan perusahan BUMN hadir lebih dekat dan mengedukasi masyarakat akan pentingnya menjaga kesehatan, yang merupakan modal dasar pembangunan.

Di bawah arahan Menteri BUMN Erick Thohir, Kementerian BUMN menjalankan program “BUMN Untuk Indonesia” guna mendorong BUMN memberikan sumbangan terbaik bagi negeri dan rakyat. Sebagai bagian dari BUMN, PT Semen Baturaja Tbk (SMBR) yang merupakan anak usaha PT Semen Indonesia (Persero) Tbk (SIG) turut mendukung pelaksanaan Jalan Sehat Bersama BUMN di Kota Bandar Lampung yang melibatkan 2.000 peserta yang berasal dari masyarakat umum, karyawan, serta keluarga besar BUMN yang berada di Bandar Lampung dan sekitarnya. Jalan Sehat Bersama BUMN ini digelar pada Minggu (26/02) di Lapangan Saburai, Kota Bandar Lampung. Jalan Sehat Bersama BUMN ini merupakan hasil kolaborasi antara SMBR dengan PT Jasa Marga (Persero) Tbk dan Perum Jasa Tirta II.

Direktur SMBR (Fungsi Keuangan dan SDM), Tubagus Muhammad Dharury mengatakan menjadi bagian dari kegiatan Jalan Sehat Bersama BUMN 2023 merupakan suatu kebanggaan dan kehormatan bagi Semen Baturaja. Melalui kegiatan ini, Semen Baturaja sebagai bagian dari aset bangsa di bawah arahan SIG dan koordinasi Kementerian BUMN, berkesempatan untuk kian dekat dan mempererat hubungan dengan seluruh lapisan masyarakat.

“Jalan Sehat Bersama BUMN merupakan kesempatan bagi kami untuk memperkuat kolaborasi bersama masyarakat, sebagai bekal melanjutkan transformasi melalui pengembangan inovasi produk dan layanan. Bersama SIG, Semen Baturaja telah menjadi bagian dari pembangunan di Indonesia,” kata Tubagus Muhammad Dharury.

Pelaksanaan Jalan Sehat Bersama BUMN di Kota Bandar Lampung ini ditandai dengan penyerahan “Estafet Obor BUMN” oleh Perwakilan Karyawan SMBR kepada Wakil Gubernur Lampung Chusnunia Chalim, lalu diserahkan kepada Direksi SMBR sebagai perwakilan BUMN yaitu Suherman Yahya dan Tubagus Muhammad Dharury.

Setelah flag-off yang dilakukan oleh Wakil Gubernur Lampung Chusnunia Chalim, para peserta Jalan Sehat Bersama BUMN menempuh rute kurang lebih sepanjang 3,5 kilometer mulai dari Tugu Adipura, Pom Bensin Kartini, Jalur 2 Katamso, Tugu Pahlawan, Ramayana, Gramedia dan kembali lagi ke Lapangan Saburai.

Selain jalan sehat, acara juga turut dimeriahkan dengan hiburan musik dari artis setempat, senam zumba dan bazar UMKM. Sebanyak 19 UMKM yang merupakan mitra binaan SMBR dan UMKM Lokal di Kota Bandar Lampung juga ikut serta mempromosikan produk–produk unggulannya.

Direktur SMBR, Tubagus Muhammad Dharury menambahkan kegiatan Jalan Sehat Bersama BUMN ini bukan sekedar ajang olahraga saja, namun diharapkan dapat menumbuhkan core values AKHLAK BUMN ke seluruh masyarakat luas.

Antusiasme peserta jalan sehat sudah terlihat sejak pagi. Ribuan peserta di Kota Bandar Lampung berbondong–bondong mengikuti acara yang juga membagikan sejumlah door prize mulai dari kompor, lemari es, mesin cuci, smart tv, dan hadiah utama berupa sepeda motor serta hadiah menarik lainnya bagi para peserta yang beruntung.

Wakil Gubernur Lampung Chusnunia Chalim menyampaikan apresiasinya terhadap program yang diharapkan dapat meningkatkan silaturahmi, membangun kebersamaan dan membentuk kebiasaan masyarakat untuk berolahraga. “Selamat Ulang Tahun Kementerian BUMN yang ke 25 Tahun, ini bukan perjalanan yang singkat, kita telah merasakan manfaat nyata kebaradaan BUMN khususnya di Lampung, mari terus bersinergi untuk menuju Lampung berjaya,” imbuhnya.

Kemeriahan jalan sehat ini dirasakan oleh Gilang Bayu, warga Kota Bandar Lampung yang mendapatkan hadiah utama sepeda motor. “Alhamdullilah, mimpi apa semalam bisa dapat rezeki nomplok sepeda motor,” kata Gilang dengan senyum gembira.

PALEMBANG – The current condition of the national cement industry is increasingly competitive and competition is getting tougher due to excess supply coupled with weak demand, as well as high energy costs. This continues to overshadow the performance of companies engaged in this industry. However, opportunities are still open by strengthening strategies that are right on target.

After the integration with SIG on December 19, 2022, PT Semen Baturaja Tbk (SMBR) continues to make efforts to strengthen the domestic market, especially in the South Sumatra region which is SMBR’s base market. Throughout 2022, SMBR is able to increase SMBR’s market share in Sumbagsel to 34%. To maintain this market dominance, SMBR has prepared a supply chain management strategy by optimizing its distribution network with a consolidated business model.

Main Director of SMBR Daconi Khotob explained, SMBR also implemented a consolidated business model to improve the company’s performance from smooth supply, speed of delivery to suppliers, customers and distributors. This business model also provides more flexible distribution cost efficiency and increased factory utilization.

“This has had a big impact on SMBR and has been able to increase sales volume and increase SMBR’s market share in the South Sumatra region.” Daconi said.

PALEMBANG – To improve the competence and skills of construction workers, PT Semen Indonesia (Persero) Tbk (SIG) together with PT Semen Baturaja Tbk (SMBR) held a Construction Expert Program or abbreviated SIG SIG. This program is one of the training programs from GIS for construction workers. The training was held on 13-14 February 2023 at the Jakabaring Athlete’s House, Palembang City, South Sumatra.

The AKSI SIG skills and competence improvement program was attended by 3,915 construction workers from various regions in East Java, West Java to Sumatra, one of which was held in Palembang City, South Sumatra. In the city of Palembang itself, 160 construction workers participated.

This training covers basic construction practices including the installation of red bricks, wall surface finishing, and plastering to smooth the results of wall plaster. In addition, they are given knowledge of Occupational Safety and Health (K3) procedures, effective and efficient construction methods, the concept of healthy homes built with sustainable construction principles, as well as an introduction to GIS products and the cement production process.

PALEMBANG – After integration, PT Semen Indonesia (Persero) Tbk (SIG) and PT Semen Baturaja Tbk (SMBR) held a Town Hall Meeting which took place at the SMBR Head Office in Palembang City in a hybrid manner on Tuesday (7/2). Present at the occasion were the SIG Board of Directors, including SIG Supply Chain Director Adi Munandir, Production Director Yosviandri, Business and Marketing Director Aulia Mulki Oemar, and HR and General Affairs Director Agung Wiharto.

Jakarta – PT Semen Baturaja Tbk (SMBR) participated in the MSME Bazaar for Indonesia 2023 which was organized by the Ministry of BUMN on January 26-29 2023 at the Sarinah Building, Jakarta, by presenting 32 types of products from 14 MSMEs developing businesses in the culinary field, craft, to fashion and beauty.

SMBR CSR Senior Manager, Gili Aprial Braja said the 32 types of MSME products presented were produced by UMKM assisted by Rumah BUMN Baturaja. Not only do they meet the criteria, all of these products have also successfully passed strict curation, both in terms of quality and packaging.

“As of May 2022, Rumah BUMN Baturaja already has 261 assisted MSMEs from OKU Regency,” added Gili.

Jakarta, 24 January 2023 – Implementation of the Extraordinary General Meeting of Shareholders (EGMS) of PT Semen Baturaja (Persero) Tbk (SMBR) which was held at the Sari Pacific Hotel Jakarta (24/01).

The meeting was held face to face at the Sari Pacific Hotel Ballroom Palace and electronically using KSEI’s Electronic General Meeting System facility (KSEI’s eASY system). At the EGMS, 2 (two) main agenda items were scheduled, namely changes to the Company’s Articles of Association and Changes to the Company’s Management.

The EGMS which began at 14.35 WIB was attended by majority and minority shareholders. The event was opened by President Commissioner Franky Sibarani and continued with the discussion of the first item on the agenda, changes to the Company’s Articles of Association.

The changes to the Company’s Articles of Association are based on the joining of SMBR with PT Semen Indonesia (Persero) Tbk (SIG) in holding the cement sub-cluster. The end of 2022 was a historic milestone for SMBR, in which the integration process of SMBR into SIG was successfully completed and has completed all stages of establishing the cement sub-cluster SOE holding which was marked by the signing of the Deed of Share Transfer Agreement on December 19, 2022 between the Republic of Indonesia and SIG. Where as many as 7,499,999,999 (seven billion four hundred ninety nine million nine hundred ninety nine thousand nine hundred ninety nine) RI State-owned Series B shares in SMBR changed their ownership to SIG, so that SMBR’s status changed to Non-Persero and became one of a SIG subsidiary.

The Republic of Indonesia still holds 1 (one) Series A Dwiwarna share, SIG owns 7,499,999,999 Series B shares and the Public owns 2,432,534,336 Series B shares. In addition to the name change, the EGMS also decided to amend several articles in the Company’s articles of association, including other matters relating to capital, shares, duties, powers and obligations of the directors, board of directors meetings, annual work plans and budgets, and other articles governing the articles of association.

The end of 2022 recorded a historic moment that completed all stages of the formation of the cement sub-cluster BUMN holding, the integration of Semen Baturaja (SMBR) into the SIG holding. BUMN The cement sub-cluster is listed as a BUMN holding which was first formed in 1995 through the consolidation of Semen Gresik, Semen Padang, and Semen Tonasa. The cement cluster SOE holding was continued with the formation of the strategic holding company Semen Indonesia (SIG) on January 7 2013. SMBR integration is one of the important milestones of the entire SOE transformation plan for streamlining and clustering of the cement sub-cluster.

Semen Baturaja was established on November 14, 1974 with share ownership by Semen Gresik and Semen Padang. SMBR continues to experience development and became a public company on March 14, 2013. Semen Baturaja has joined the holding by becoming a subsidiary of SIG through the addition of state capital in the form of inbreng to SIG based on PP 72/2016 with the Pre-emptive Rights (HMETD) mechanism. According to the Deputy Minister of BUMN II Kartika Wirjoatmodjo in the signing of the Deed of Inbreng of SMBR shares into SIG shares on December 19 2022, the BUMN Sub Cluster of Cement will encourage the recovery of the cement industry in the next two to three years through innovation, optimization and efficiency to overcome cost burden, maintaining cost structure and EBITDA consistency.

The HMETD mechanism also provides additional capital from the public/public participating in the HMETD purchase through a rights issue. The entire rights issue process was successfully carried out on December 28, 2022 with a total order reaching 96.9% of all transactions. The absorption of this rights issue shows the high interest and participation of public shareholders and the level of trust in BUMN.

SOE Minister Erick Thohir revealed that the corporate action in the form of a rights issue was intended to keep BUMN capital from relying too heavily on debt. This strategy is important to encourage the potential expansion of the BUMN business in the future. Additional capital is intended for SOEs with industries that have good prospects and potential going forward.

In the midst of national economic recovery after the Covid-19 pandemic, this integration momentum is expected to help realize the 2020-2024 National Medium Term Development Plan (RPJMN) agenda, namely strengthening economic resilience for quality growth through non-oil and gas export growth and strengthening economic development infrastructure and basic services by ensuring the smooth supply and distribution of adequate cement supplies for a better and more sustainable development of the nation.

SMBR recorded an increase in revenue up 9% yoy, followed by the Company’s net profit increasing 160% up to Q3 2022 compared to Q3 2021. This proves that SMBR still shows positive performance in 2022, amid the conditions in the cement industry which are still accompanied by an increase in coal and an increase in costs logistics which has the impact of increasing the company’s operating costs.

The company is optimistic that it can close 2022 with positive performance. This cannot be separated from the cooperation and hard work of all levels of management and employees who have done their best.

Another exciting news in 2022, SMBR received the Public Information Disclosure Award organized by the Central Information Commission, where SMBR has achieved results as a company in the “Informative” category. JAKARTA – The Government of Indonesia officially inbreng shares by transferring the shares of the Republic of Indonesia (“Negara RI”) in the amount of 7,499,999,999 Series B shares with a total value of IDR 2,848,672,369,646 or representing 75.51% of the entire issued and fully paid capital in Semen Baturaja into SIG shares, as a continuation of the Cement Sub Cluster SOE Integration Program through the Pre-emptive Rights (HMETD) process.

The signing of the Inbreng Deed was carried out by the Deputy Minister of BUMN II, Kartika Wirjoatmodjo and the Main Director of SIG, Donny Arsal, at the Office of the Ministry of BUMN, Jakarta, Monday (19/12/2022). This share inbreng transaction does not change the portion of ownership by the Republic of Indonesia on controlling shares in SIG. The Republic of Indonesia also still owns 1 Series A Dwiwarna share in Semen Baturaja.

The Main Director of SIG, Donny Arsal said, the integration of Semen Baturaja into SIG is a big step to strengthen the position of the SOE Cement Sub Cluster in facing competitive market challenges.
